Terms of Service

This version supersedes all previous versions of the Terms of Service.

Introduction

Welcome to Locable (“Company”). This website, platform, and related services are owned and operated by Locable. By visiting our website and accessing the information, resources, services, products, and tools we provide on any Locable service or platform (“Service”), you agree to accept and adhere to the terms and conditions set forth in this User Agreement, as well as our Privacy Policy.

This version of the agreement supersedes all previous versions. We may update these terms from time to time without notice. Continued use of the Service constitutes your acceptance of any revised terms.



Plan Eligibility and Access Requirements

Locable's services are intended exclusively for use by businesses, organizations, and communities based in the United States. We do not currently support or contract with international entities.

Locable offers several subscription plans, each tailored to specific types of organizations and their roles in the community.

Plan Eligibility by Organization Type

  • Engage Plan (Free): Available to local businesses and nonprofits located within a Community in Good Standing (defined below). This plan is offered at Locable’s discretion and may be modified, restricted, or revoked.

  • Build & Grow Plans: Exclusively available to small businesses and non-anchor nonprofits. Anchor Organizations are not eligible for these plans. Eligibility is based on the organization’s operational scope and mission.

  • Cultivate Plan: Exclusively for non-anchor nonprofits involved in arts, history, culture, and other forms of community enrichment (e.g., museums, libraries, theaters). Anchor Organizations are ineligible.

  • Coordinate Plans (Core-based): Required for all Anchor Organizations as a condition for using Locable. These plans include one or more of Locable’s proprietary Cores:

    • Community Engagement Core

    • Content Marketing & Distribution Core

    • Administrative Efficiency Core

Definition of Community Anchor Organizations

Community Anchor Organizations are defined as groups that serve or coordinate community-wide engagement efforts, including but not limited to:

  • Main Street Associations

  • Chambers of Commerce

  • Tourism Bureaus / DMOs

  • Municipal and Town Governments

These organizations must be subscribed to at least one Coordinate Core Plan to use the Service. Exceptions apply only if another Community Anchor Organization in their immediate geographic community is already on an active Coordinate Plan, in which case they may be granted access to the Engage Plan.

Definition of Community in Good Standing


Community in Good Standing is a geographic area (typically a town, city, or county) where at least one Anchor Organization:

  1. Has an active subscription to one or more Coordinate Plans, and

  2. Is in compliance with all terms outlined in this User Agreement and Locable's Acceptable Use Policy.

If a community no longer maintains an active Anchor subscription, Locable may limit or remove free access to the Engage Plan and associated services.



Responsible Use and Conduct

By visiting our website and accessing the information, resources, services, products, and tools we provide for you, either directly or indirectly (‘Resources’), you agree to use these Resources only for the purposes intended as permitted by this User Agreement and applicable laws and regulations.

You agree:

  • To provide accurate, up-to-date registration information

  • To maintain the confidentiality of your login credentials

  • Not to access our Resources via unethical, automated, or unconventional means

  • Not to disrupt or interfere with the functionality of our Resources

  • Not to copy, resell, or redistribute Resources unless authorized

  • That you are solely responsible for the consequences of misuse

  • That posted content must not be illegal, abusive, or infringe intellectual property rights

Business Listing Claims and Representations

You may only claim or manage a business listing if you are an owner, employee, or authorized representative of that business or organization. Agencies, contractors, or SEO professionals may not claim listings on behalf of clients without written authorization. Locable reserves the right to remove, flag, or label listings that appear to be unverified or created without appropriate authorization.

Disclaimers on Listings

Locable may display disclaimers or educational notices on listings that have not been claimed or verified by the business owner or their representative. These disclaimers may indicate that the listing was created by a third party and may not reflect accurate or up-to-date information

We reserve the right to remove or moderate any content at our discretion and assume no liability for content posted by users. By posting content using open communication tools or submitting information for public display (including listings, events, offers, or profiles), you grant Locable a perpetual, non-exclusive, royalty-free, worldwide license to reproduce, distribute, display, and syndicate the content across our cross-promotion and distribution network. You retain ownership of your content. You also agree to indemnify and hold harmless Locable from any claims arising from your misuse of our Resources or the content you provide.


Local Connections Network and Content Distribution

Locable operates the Local Connections® Network, a content discovery, attribution, distribution, syndication, and engagement network that connects businesses, organizations, communities, and other information sources. 

Content submitted to, published through, imported into, or otherwise made available through the Services may be displayed, linked, indexed, categorized, recommended, summarized, excerpted, syndicated, distributed, promoted, or otherwise surfaced across participating websites, applications, email communications, feeds, directories, calendars, search results, recommendation systems, and other current or future channels and technologies operated by Locable or participating organizations.

Locable may also collect, organize, display, and distribute publicly available information and content from authorized sources, including organizations that are not active customers or participants, where permitted by law, license, agreement, public availability, or other authorization. Such information may be incorporated into Locable's databases, Local Graph, discovery tools, directories, calendars, recommendation systems, and related services.

The rights granted under these Terms include the rights reasonably necessary for Locable to operate, improve, maintain, and expand the Local Connections Network and related services. Nothing in this section transfers ownership of your content to Locable, and you retain all ownership rights not expressly licensed under these Terms.




Payments, Refunds, Upgrading and Downgrading

The Service is offered with both free and paid options. Each business or organization requires a separate account.

  • Upgrades take effect immediately and are billed via credit card or invoice on a recurring basis.
  • Downgrades apply at the next billing cycle and may result in feature loss, reduced functionality, or removal of access to certain content or settings.
  • Failed Payments: Repeated failed charges or overdue invoices may result in suspension, restriction, downgrade, or termination of Services.
  • Cancellations and Non-Renewal: You are responsible for properly canceling or downgrading your account. Requests to cancel, terminate, downgrade, or prevent renewal of paid Services must be submitted in writing to Locable through the designated billing or support contact method. Verbal requests, voicemail messages, meeting discussions, or informal communications do not constitute valid notice unless expressly confirmed in writing by Locable.

For annual subscriptions, notice of cancellation or non-renewal must be received at least 30 days prior to the renewal date.

Plan Changes: If you are billed via invoice, plan changes, cancellations, or downgrades requested through the platform are not effective unless confirmed by Locable in writing.

Locable reserves the right to modify, suspend, discontinue, or change any aspect of the Service, pricing, features, or plan structure at any time with or without notice.

Except where required by law, payments are non-refundable.




Privacy

Your privacy is very important to us. Our Privacy Policy explains how we collect, manage, and use your information. It is included under the scope of this User Agreement. [Read the Privacy Policy.]



Data Collection & Use

Locable uses analytics and third-party tools to collect insights on how users interact with our platform. This data helps us improve performance, user experience, and overall service quality. While these tools may process identifiable or behavioral information, we strive for accuracy and transparency. Additionally, we maintain a Local Graph of publicly accessible business and organizational information, as outlined in the Copyrights / Trademarks section. This information may be included and retained independently of user account status.


Communications Monitoring and Recording

Locable may monitor, record, transcribe, summarize, and retain business communications and interactions with users and customers for purposes including support, training, quality assurance, internal documentation, security, operational improvement, dispute resolution, and service enhancement.

This may include phone calls, video meetings, webinars, demos, support interactions, chat communications, screen-sharing sessions, and communications conducted through third-party platforms integrated with or used alongside the Service.

By using the Service or participating in such communications, you acknowledge and consent to such monitoring, recording, transcription, summarization, and retention where permitted by applicable law.

You are responsible for notifying your employees, representatives, contractors, or participants who join meetings or communications on your behalf that such interactions may be recorded or transcribed.

Locable may use automated tools, including AI-assisted systems, to generate notes, summaries, action items, transcripts, and operational insights from recorded communications. These materials may contain errors or omissions and should not be relied upon as verbatim records unless expressly identified as such.


Limitation of Warranties

Resources are provided "as is" and "as available." While we strive to improve our Services continuously and make a good faith effort to resolve issues and deliver new value, we do not guarantee:

  • That the Services will meet your expectations

  • Uninterrupted or error-free operation

  • Accuracy of information obtained via the platform

  • That defects will be corrected

Any content downloaded or otherwise obtained through the use of our Services is done at your own discretion and risk. You are solely responsible for any damage to your devices or loss of data that may result. No information or advice obtained from Locable shall create any warranty not expressly stated in this Agreement.



Limitation of Liability

Locable's liability is limited to the amount you paid for the Services. We are not liable for indirect, incidental, or consequential damages due to platform use, feature loss, downtime, or account termination.



Copyrights / Trademarks

All Locable content, including names, designs, logos, and phrases, are the intellectual property of Locable or its licensors. Trademarks include but are not limited to:

  • Locable™

  • Main Street for the 21st Century™

  • #TakeBackLocal™

  • Effective Without Becoming an Expert™

  • Marketing 3-4-5™

Content you upload remains yours, but it may be distributed, syndicated, shared or otherwise made available on other websites and locations online in accordance with networking and distribution features. Locable may collect, use, and display publicly accessible business and organizational information - such as names, locations, contact details, and publicly published content - as part of its Local Graph and public database. This information may be included indefinitely, distributed across the platform and network, and made visible through Locable’s tools and services. Inclusion is not contingent on account status and may persist beyond cancellation. Locable reserves the right to retain information it reasonably deems publicly available and not proprietary, and is not obligated to remove such data unless required by law or internal policy. You may report incorrect data, business closures or copyright infringement and unauthorized account access and impersonation for review by Company.



Termination of Use

We may suspend or terminate your access for any violation of this agreement, including illegal or abusive behavior. Suspension includes removal of account access and forfeiture of stored content. We reserve the right to refuse service at any time.



Governing Law and Venue

These Terms and any disputes arising from or relating to the Service shall be governed by the laws of the State of Tennessee, without regard to conflict of law principles.
You agree that any legal action or proceeding relating to the Service or these Terms shall be brought exclusively in the state or federal courts located in Tennessee, and you consent to the jurisdiction and venue of those courts.
To the fullest extent permitted by law, disputes must be brought on an individual basis and not as part of a class or representative action.


The prevailing party in any action to enforce these Terms shall be entitled to recover reasonable attorneys’ fees and costs.



Dispute Resolution

Before initiating formal legal proceedings, both parties agree to make a good faith effort to resolve any dispute informally. The party raising the dispute must provide written notice describing the issue in reasonable detail, and the parties agree to attempt informal resolution for at least 30 days before filing any legal action, except for claims involving injunctive relief, misuse of intellectual property, unauthorized access, fraud, nonpayment, or other urgent matters.

If a dispute cannot be resolved informally, the parties may mutually agree to participate in non-binding mediation before pursuing litigation.



Third-Party Integrations

Some Locable features may integrate with third-party services, depending on your plan level. These integrations are subject to the reliability, availability, and continued support of the third-party provider. Locable is not responsible for downtime, changes, or incompatibility introduced by these external services. While we make a good faith effort to address issues and restore functionality, errors and disruptions may occur and are not always within our control or immediately detectable.



AI Features and User Responsibility

Locable’s platform may include AI-powered features designed to support rapid content creation and operational efficiency. These tools, like the AI industry on a whole, are experimental and evolving. While aligned with our 15-minute marketing methodology, AI-generated content should be considered a starting point.

We strongly recommend that users thoroughly review and edit AI-generated outputs before publishing or sharing. Locable disclaims responsibility for errors, inaccuracies, or unintended messaging resulting from use of AI features.

Fair-use limits may apply to AI and other high-volume features, and Locable reserves the right to restrict excessive usage that negatively affects platform performance or fair access for other users.

Users are prohibited from submitting, publishing, or distributing content they do not have the rights to use. This includes copyrighted material owned by third parties unless used with proper citation, licensing, or permission. Violations may result in content removal, account suspension, or legal liability.



Guarantee

Locable offers an Unlimited Support Guarantee to all customers subscribed to a Coordinate Plan. This guarantee outlines the scope and expectations of ongoing support and service responsiveness for qualifying plans.

The Unlimited Support Guarantee applies to Locable-supported features, settings, workflows, and recommended implementation patterns. It does not obligate Locable to troubleshoot, repair, rewrite, maintain, or support custom code, third-party customizations, malformed HTML, inline styling, external scripts, or implementation choices that fall outside Locable’s recommended practices.

If custom work materially contributes to an issue, increases troubleshooting complexity, affects performance, or creates compatibility concerns, Locable may limit support for the affected area until the implementation is simplified, refactored, removed, or addressed by the person or provider responsible for the customization.

Unless otherwise stated, Locable expressly disclaims all warranties, including implied warranties of merchantability and fitness for a particular purpose.
